Terms of Service

Important: CardioAI is an investigational clinical decision-support tool intended exclusively for licensed healthcare professionals. It has not been cleared or approved by the U.S. Food and Drug Administration (FDA). Please read these Terms carefully before using the application.

1. Acceptance of Terms

By downloading, installing, or using the CardioAI mobile application or website (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree to these Terms, do not use the Service.

These Terms constitute a legally binding agreement between you ("User," "you," or "your") and CardioAI ("Company," "we," "us," or "our"). We reserve the right to update these Terms at any time. Your continued use of the Service after any update constitutes your acceptance of the revised Terms.

2. Eligibility — Licensed Professionals Only

The Service is intended exclusively for licensed healthcare professionals, including but not limited to physicians, nurse practitioners, physician assistants, and other clinicians who are legally authorized to interpret electrocardiograms and make clinical decisions in their jurisdiction.

By using the Service, you represent and warrant that:

  • You are a licensed healthcare professional in good standing in your jurisdiction;
  • You have the training and qualifications necessary to interpret ECGs and evaluate AI-generated clinical output;
  • You will use the Service only in connection with legitimate clinical activities;
  • You are at least 18 years of age.

The Service is not intended for use by patients, caregivers, students without clinical supervision, or any person who is not a licensed healthcare professional. We reserve the right to terminate accounts that we reasonably believe violate this provision.

3. Medical Disclaimer — Critical

CardioAI provides artificial intelligence-generated analysis of electrocardiogram images for decision support purposes only. This is not medical advice.

  • CardioAI has NOT been cleared or approved by the FDA as a medical device.
  • AI-generated interpretations are investigational and must always be reviewed and validated by a qualified clinician before any clinical decision is made.
  • CardioAI is a supplement to, not a substitute for, professional medical judgment, clinical examination, and standard diagnostic procedures.
  • Do not use CardioAI in emergency situations. In a medical emergency, call 911 or your local emergency number immediately.
  • The Company assumes no responsibility for clinical decisions made based on AI-generated output.

YOU ASSUME ALL RISK ASSOCIATED WITH THE USE OF AI-GENERATED CLINICAL CONTENT. THE COMPANY IS NOT RESPONSIBLE FOR ANY ADVERSE PATIENT OUTCOMES.

4. Account Registration

You may use the Service without creating an account. Up to five (5) free interpretation trials are provided to each unique device, identified by a persistent hardware device identifier.

You may optionally register for an account to unlock additional features, including two (2) additional free trials (available only after all initial device trials are exhausted) and the ability to purchase scan packs. When you register, you agree to provide accurate and complete information and to keep your account credentials confidential. You are responsible for all activity that occurs under your account.

We reserve the right to suspend or terminate your account at any time for violation of these Terms.

5. Free Trials and Scan Packs

5.1 Free Trials

Each unique device receives five (5) free ECG interpretation trials. Trials are associated with the hardware device identifier and are designed to persist across application reinstalls on iOS (via the iOS Keychain) and on Android (via the Android ID). Reinstalling the application to obtain additional free trials is a violation of these Terms and may result in account suspension.

Users who register for a free account after exhausting all five (5) device trials are eligible to receive two (2) additional bonus trials. This bonus is available once per device and will not be granted to users who register before exhausting their initial trials.

5.2 Scan Packs

After free trials are exhausted, you may purchase scan packs to continue using the interpretation service. Current pricing:

  • 10 Scans — $5.00 USD
  • 25 Scans — $9.99 USD
  • 55 Scans — $19.99 USD

Prices are subject to change at any time with notice. Scans do not expire and accumulate with subsequent purchases. One (1) scan is consumed per ECG interpretation request, regardless of whether the AI analysis completes successfully.

6. Payment Terms

All transactions are processed in United States Dollars (USD) through third-party payment processors (Stripe and/or Paystack). By making a purchase, you authorize us to charge your selected payment method for the applicable amount.

Refund Policy: Scan packs are non-refundable once scans have been used. If you experience a technical error that results in a scan being consumed without a completed interpretation, contact us at support@cardioai.fit within 14 days and we will investigate and, at our discretion, credit the affected scan(s).

We are not responsible for any fees charged by your payment provider. All applicable taxes are your responsibility.

7. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws or regulations;
  • Upload ECG images of patients without appropriate authorization under applicable law, including HIPAA where applicable;
  • Attempt to reverse-engineer, decompile, or otherwise extract the source code of the application;
  • Use automated tools, bots, or scripts to access the Service in a manner that exceeds normal human usage;
  • Attempt to circumvent trial limits through device spoofing, reinstallation, or any other means;
  • Share your account credentials with any other person;
  • Misrepresent your professional credentials or licensure status;
  • Use the Service in a manner that could harm, disable, or impair the Service or interfere with any other party's use of the Service.

8. Data, Privacy and HIPAA

Your use of the Service is also governed by our Privacy Policy, which is incorporated herein by reference.

CardioAI implements automated PHI de-identification of all uploaded ECG images using HIPAA Safe Harbor methods prior to any AI analysis. Original images are not retained. However, you are solely responsible for ensuring that your use of the Service complies with all applicable privacy and data protection laws, including the Health Insurance Portability and Accountability Act (HIPAA) and any state privacy laws in your jurisdiction.

CardioAI does not operate as a Covered Entity or Business Associate under HIPAA with respect to the Service as currently offered. If your use of the Service requires a Business Associate Agreement (BAA), please contact us before use.

9. Intellectual Property

All content, features, and functionality of the Service — including but not limited to the application, website, AI system prompts, clinical analysis engine, design, text, graphics, and software — are owned by CardioAI and are protected by United States and international intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your personal clinical practice, subject to these Terms. This license does not include the right to sublicense, copy, modify, distribute, or create derivative works from any part of the Service.

ECG images you upload remain your property (or the property of the applicable healthcare institution). By uploading an image, you grant us a limited license to process it solely for the purpose of providing the Service.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, NON-INFRINGEMENT, OR UNINTERRUPTED AVAILABILITY.

WE DO NOT WARRANT THAT: (A) THE SERVICE WILL BE ERROR-FREE OR UNINTERRUPTED; (B) AI-GENERATED INTERPRETATIONS WILL BE ACCURATE, COMPLETE, OR CLINICALLY RELIABLE; (C) ANY PARTICULAR ECG CONDITION WILL BE DETECTED; OR (D) THE SERVICE WILL MEET YOUR SPECIFIC CLINICAL REQUIREMENTS.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CARDIOAI, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR PERSONAL INJURY, PATIENT HARM, LOSS OF REVENUE, LOSS OF DATA, OR LOSS OF GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE.

IN NO EVENT SHALL OUR TOTAL CUMULATIVE LIABILITY TO YOU EXCEED THE GREATER OF (A) THE TOTAL AMOUNT PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00 USD).

SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATION OF LIABILITY PROVISIONS, SO THE ABOVE MAY NOT APPLY TO YOU IN FULL.

12. Indemnification

You agree to indemnify, defend, and hold harmless CardioAI and its officers, directors, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service; (b) any clinical decision you make based on AI-generated output; (c) your violation of these Terms; (d) your violation of any applicable law or regulation; or (e) your misrepresentation of your professional credentials.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules. The arbitration shall take place in Delaware. Judgment on the arbitration award may be entered in any court of competent jurisdiction.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent actual or threatened infringement of intellectual property rights.

Class Action Waiver: You agree that any dispute resolution will be conducted only on an individual basis and not as part of any class, consolidated, or representative action.

14. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination, all licenses granted to you under these Terms will immediately cease. Provisions that by their nature should survive termination shall survive, including Sections 3, 10, 11, 12, and 13.

15. Changes to These Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will update the "Last updated" date at the top of this page and, where appropriate, notify you through the application. Your continued use of the Service after the effective date of any change constitutes your acceptance of the revised Terms.
